Novum ("we", "us", "our") operates the Doris platform, a technology service that provides visual representations of financial derivative strategies, educational content, portfolio analytics, and access to investment products through regulated broker partners.

Novum is a technology company. We do not provide investment advice, financial advice, or personal recommendations. The visual shapes, AI-generated commentary, and analytical tools provided through the platform are for informational and educational purposes only.

By accessing or using the Doris platform, you agree to be bound by these Terms of Service. If you do not agree to these terms, you must not use the platform.

To use the Doris platform, you must be at least 18 years of age and a resident of a jurisdiction where the use of such services is permitted. By registering an account, you represent and warrant that you meet these eligibility requirements.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorised use of your account.

We may require you to complete identity verification (Know Your Customer) procedures before accessing certain features of the platform, including the ability to place investment orders through our broker partners.

The Doris platform provides the following services:

• Visual Investment Tools: Interactive charts and shapes that represent the payoff profiles of financial derivative strategies.
• Educational Content: The Interactive Demo, How It Works guide, and related materials designed to help users understand structured products.
• The Studio: A tool for constructing and customising investment shapes with adjustable parameters.
• Portfolio Dashboard: Visual tracking of active investments and performance analytics.
• AI Assistant (Doris): An artificial intelligence assistant that provides general market information and educational content. Doris does not provide personalised investment advice.
• Broker Integration: Connectivity to regulated broker partners for the execution of investment orders.
• Market Data: Real-time and historical market data sourced from third-party providers.

Investment orders placed through the Doris platform are executed by our regulated broker partners. Novum acts as a technology intermediary and does not hold client funds or assets. Your relationship with the executing broker is governed by their separate terms and conditions.

We endeavour to provide accurate pricing information, but all prices displayed on the platform are indicative until confirmed by the executing broker at the point of trade. Market conditions may cause the final execution price to differ from the price displayed at the time of order placement.

Novum is not responsible for the actions, omissions, or solvency of our broker partners. We select our partners with care, but you should satisfy yourself as to the suitability and regulatory status of any broker through whom your orders are executed.

The Doris platform, including its visual design, software, algorithms, content, and the "Doris" and "Novum" names and logos, are the intellectual property of Novum and are protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable licence to use the platform for your personal, non-commercial use. You may not copy, modify, distribute, sell, or lease any part of the platform or its content without our prior written consent.

Partners accessing the platform through our SDK or API are granted usage rights as specified in their separate Partner Agreement.

To the maximum extent permitted by applicable law, Novum shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

• Your use of or inability to use the platform
• Any investment losses incurred through the platform
• Unauthorised access to or alteration of your data
• Statements or conduct of any third party on the platform
• Errors, inaccuracies, or omissions in market data or analytical tools
• Service interruptions, delays, or technical failures

Nothing in these terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by English law.

Market data displayed on the platform is sourced from third-party providers and is provided on an "as is" basis. While we endeavour to ensure accuracy, we do not warrant that market data is complete, accurate, or up to date. Real-time data may be subject to delays.

The Scenario Simulator uses historical data and mathematical models to generate hypothetical outcomes. These scenarios are for educational purposes only and should not be relied upon as predictions of future performance.

These Terms of Service are governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

If any provision of these terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
